Terms of Service

Last updated: October 9, 2026

These terms govern your use of Alpha.sh, provided by 01 Labs, Inc. ("Alpha.sh", "we"): the console at console.alpha.sh, the inference API at alpha.sh/v1 and the models served through it (together, the "Service"). By creating an account, creating an API key or sending a request, you agree to these terms on behalf of yourself and the organization you represent. If you have a signed agreement with us, that agreement governs where it differs from these terms.

Accounts and API keys

You are responsible for your account, for the members you invite to your organization and for every request made with your API keys. Keep keys secret. If a key is exposed, delete it in the console and tell us at hello@alpha.sh. The Service is for business and developer use: by using it you confirm that you act for a business, trade or profession and not as a consumer, and that you are at least 18.

Using the Service

You may use the Service to build and run your own products. You may not:

We may suspend access that breaches these rules or threatens the Service or other customers, and we will tell you why unless the law or security prevents it.

Marketplaces and gateways

If you reach the Service through a marketplace or gateway with which we have an agreement, that marketplace's terms govern your relationship with it and its payment to us. The "Using the Service" and "Models" sections still apply to your use of the models we serve.

Export controls and sanctions

You will comply with the export-control and sanctions laws of the United States and of every other country that applies to you. You may not use the Service from, or for the benefit of, a country or region under comprehensive embargo or a person on a sanctions list, or for an end use those laws prohibit.

Models

The Service serves open-weight models published by third parties. Each model is subject to its own license, linked from its page in the console, and you agree to follow it. Models can produce inaccurate or unsuitable output; you are responsible for how you use it. We may add models and retire them; we give notice in the console before retiring a model, except when a license or legal requirement forces faster action.

Your content

You keep all rights to your prompts, inputs and outputs. You give us permission to process them only to provide the Service to you, and we never use them to train models. We handle your content as the Privacy Policy describes, including which records we keep and where we process requests. A current list of our subprocessors is available on request. Where we process personal data in your content on your behalf, our Data Processing Addendum, including the EU Standard Contractual Clauses, applies; ask for it at hello@alpha.sh. You are responsible for having the rights to the content you send.

Capacity and rate limits

Requests are subject to rate and capacity limits. How the API answers when a limit is reached, the regions that serve each model and our current limits are described in our documentation and may change. Unless a signed agreement says otherwise, the Service is provided without an uptime commitment.

Fees and payment

Usage is charged per token at the prices shown in the console when the request is made. Self-serve organizations pay in advance with credits, which are spent as requests are served; credits are non-refundable except where the law requires otherwise. Organizations on invoiced terms pay as their agreement states. Prices exclude taxes, which you pay where they apply. We may change prices for future usage with at least 14 days' notice in the console or by email.

Our rights

We own the Service, the console and our software. These terms do not grant you any right to them beyond using the Service as described here. If you send us feedback, we may use it without obligation to you.

Disclaimers

The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not warrant that the Service or any output will be accurate, uninterrupted or error-free.

Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability arising from the Service is limited to the greater of the amount you paid us in the 12 months before the claim arose and US $100. These limits do not apply to your payment obligations, your indemnity obligations, your breach of "Using the Service" or "Export controls and sanctions", or liability that cannot be limited by law.

Indemnity

You will defend and indemnify us against third-party claims arising from your content, your products or your breach of these terms. We will tell you promptly about a claim, let you control its defense and cooperate at your expense; you will not settle a claim in a way that admits fault on our behalf or binds us without our consent.

Ending the Service

You may stop using the Service and close your account at any time. We may end these terms with 30 days' notice, or immediately for a material breach. Sections on fees owed, our rights, disclaimers, limitation of liability, indemnity and governing law survive.

Governing law

These terms are governed by the laws of the State of Nevada, United States, without regard to its conflict-of-law rules. The state and federal courts in Clark County, Nevada have exclusive jurisdiction, except that either party may seek injunctive relief anywhere.

Changes

We may update these terms. We post changes on this page and update the date above; material changes take effect 14 days after notice in the console or by email. Continuing to use the Service after that means you accept them.

General

Neither party is liable for a delay or failure caused by events beyond its reasonable control. You may not assign these terms without our consent; we may assign them to an affiliate or in a merger or sale of our business. These terms, with any order form or signed agreement and the documents they refer to, are the whole agreement on their subject. If a provision is unenforceable, the rest stays in force. Not enforcing a provision is not a waiver. We send notices to the email address on your account, and you send them to hello@alpha.sh. The parties are independent contractors.
